📋 Description

• Draft, review, negotiate, and execute commercial agreements, including customer, vendor, non-disclosure, amendment, and related transactional documents • Partner with Sales, Customer Success, and internal teams on transactions and contracting matters supporting company growth • Provide practical legal guidance on commercial and contractual matters, contract interpretation, and risk allocation • Support Customer Success with client contract-administration processes, notices, renewals, and legal-document execution • Support procurement and vendor-management activities, including third-party terms and vendor-agreement negotiations • Partner with Privacy, Compliance, Regulatory, Security, Operations, and other subject-matter experts through contract execution • Ensure adherence to contract-related policies and procedures and help resolve contract issues • Improve and automate forms, policies, playbooks, and contracting processes • Support legal due diligence, strategic initiatives, and corporate projects • Report to the Managing Lead Commercial Counsel

🎯 Requirements

• J.D. from an accredited law school • Active membership in good standing with at least one U.S. state bar • 4+ years of relevant legal experience • Experience drafting, reviewing, and negotiating commercial contracts • Ability to identify and assess legal and business issues, evaluate risk, and provide practical recommendations • Strong business acumen and ability to manage multiple priorities • Exceptional drafting, negotiation, communication, organizational, project-management, and prioritization skills • Strong ownership and accountability • High integrity, professionalism, intellectual curiosity, and willingness to learn and grow • Ability to build effective working relationships across the organization • Commitment to confidentiality of proprietary, sensitive, and personnel information • Nice to have: experience negotiating SaaS, technology, healthcare, or other regulated commercial agreements • Nice to have: familiarity with customer, vendor, technology, data protection, marketing, and other complex commercial contracts • Nice to have: experience supporting a high-growth technology company • Nice to have: experience building contracting infrastructure or implementing contract lifecycle management tools
