📋 Description

• Assist with the formation, structuring, and ongoing management of corporate entities. • Support due diligence efforts for potential M&A transactions, including document review and organization. • Review, draft, and negotiate a variety of contracts, including vendor agreements, NDAs, and service agreements. • Prepare and submit state regulatory filings, ensuring ongoing compliance with applicable cannabis laws and regulations. • Conduct legal research on corporate, compliance, and regulatory matters affecting the cannabis industry. • Support corporate governance activities, including maintaining corporate records and drafting resolutions. • Collaborate with internal stakeholders to provide practical legal guidance that aligns with business objectives. • Assist senior attorneys with other legal matters as needed.

🎯 Requirements

• Juris Doctor (J.D.) degree from an accredited law school. • Licensed to practice law and in good standing in at least one U.S. jurisdiction. • 1-3 years of legal experience, preferably in corporate law or regulatory compliance (cannabis industry experience is a plus). • Strong understanding of corporate entity structures and governance. • Ability to manage multiple tasks and deadlines in a fast-paced environment. • Excellent organizational skills, attention to detail, and analytical abilities. • Strong written and verbal communication skills. • Proactive, adaptable, and eager to learn in a rapidly changing industry.
