TerraScale is an Innovation Lab within GoDigital Media Group that applies engineering, research and core technologies to develop and operate media-focused platforms and tooling. The team builds and supports solutions including advanced audio fingerprinting Content ID services, metadata optimization for music rights, video post‑processing and digital supply‑chain tools, big data analytics and ad tech integrations to increase revenue and reduce operational costs for media companies and studios.

📋 Description

• Serve as the primary in-house legal voice across recording, publishing, distribution, and catalog divisions • Draft and negotiate complex music distribution and rights-based agreements involving revenue sharing, minimum guarantees, advances, recoupment mechanics, and royalty structures • Lead due diligence for music catalog acquisitions and rights-based transactions, including revenue streams, contractual obligations, and asset performance • Partner with finance and executive leadership to assess deal structures, evaluate risk, and align legal frameworks with business objectives • Develop and implement strategies to protect and maximize the commercial value of intellectual property assets • Establish scalable legal frameworks supporting transaction execution and financial risk mitigation • Advise on compliance with applicable data protection and privacy regulations • Collaborate with external legal counsel on litigation strategy, document review, and dispute resolution • Maintain awareness of evolving practices in music rights, digital distribution, and deal structuring • Report to the Chief Operation Officer

🎯 Requirements

• Juris Doctor (JD) degree from an accredited US law school • Active Bar admission in the relevant jurisdiction • Minimum 7 years of experience in the music industry • Direct involvement in music distribution, recording agreements, publishing deals, and catalog acquisitions • Experience leading complex transactions involving music rights, catalog acquisitions, or structured commercial deals from deal structuring through closing • Deep understanding of advance structures, recoupment mechanics, minimum guarantees, revenue-sharing arrangements, and financial covenants relevant to music distribution and catalog transactions • Ability to work alongside finance leadership on deal profitability assessment and risk management • Experience operating as a primary in-house legal resource or General Counsel with limited support staff • Independent judgment across a broad range of legal matters • Excellent drafting, negotiation, and communication skills • Strong analytical and problem-solving abilities with attention to detail
