📋 Description

• Learn and understand Truven's products, business model, strategy, and culture to support revenue goals through contracting activities • Initiate, review, redline, and negotiate transactional contracts including data agreements, SaaS agreements, master agreements, SOWs, BAAs, trial agreements, NDAs, teaming agreements, independent contractor agreements, and vendor agreements • Efficiently manage standard and complex contracts • Drive competitive bid efforts through evaluating RFIs and RFPs, identifying issues, and providing subject matter expertise for bid responses • Analyze contract terms and conditions, evaluate prior terms, determine needs for amendments or renewals, and negotiate revisions using contract playbooks • Coordinate contract review and collaborate with in-house counsel, sales, compliance, finance/accounting, information security, and other internal SMEs • Develop business relationships with Truven leadership, customers, and suppliers • Assist with playbooks, templates, processes, and clause libraries to optimize enterprise contracting • Work with contract management systems and identify, implement, and support improvements and new technologies • Perform other duties and responsibilities as needed

🎯 Requirements

• Bachelor's Degree plus 10 years of experience drafting, negotiating and consulting on contracts • Experience working with data privacy issues and agreements • Experience in healthcare technology, technology software & services or healthcare • Excellent drafting and negotiation skills and demonstrated ability to close complex transactions • Practical, business-driven problem solver with proven ability to manage competing priorities • Exceptionally detail oriented, with a sense of urgency and high-quality work with minimal supervision • Unwavering commitment to customer service for internal and external clients • Exceptional interpersonal, verbal and written communication skills • Advanced skills with Microsoft Word and PowerPoint • Experience with CRM and CLM tools • Experience working in Salesforce, Docusign or similar tools • Experience providing training or education to internal clients • Experience driving organizational change and improvements • Experience with government contracts and procurement processes • Must satisfy employment authorization requirements; Merative participates in E-Verify
