📋 Description

• Support mergers, acquisitions, and other strategic transactions from due diligence through closing • Coordinate cross-functional diligence, identify legal and business risks, and assist with transaction execution and post-closing obligations • Lead and coordinate post-acquisition integration efforts with Operations, Finance, Human Resources, Information Technology, and other business leaders • Track integration milestones, risks, dependencies, and key action items • Develop and administer the Enterprise Risk Management program with the Chief Legal & Sustainability Officer • Support private equity, lender, and advisor due diligence for recapitalizations, financing transactions, and other corporate initiatives • Manage significant professional liability, commercial, contractual, employment, and other complex claims and disputes • Coordinate internal fact gathering, documentation, insurance, outside counsel, and resolution strategy • Identify trends and lessons learned and develop mitigation measures, policies, and business processes • Review and support negotiation of complex, high-risk, or escalated contracts • Provide legal and risk guidance on strategic corporate initiatives, significant client matters, organizational changes, and cross-functional projects • Build relationships with internal stakeholders, external counsel, insurers, advisors, and transaction partners • Collaborate across the legal team and provide support outside assigned primary areas • Travel for transaction, training, or other business meetings as needed

🎯 Requirements

• Graduate from an accredited law school • Currently admitted to practice in one or more U.S. states • Between 8 and 10 years of experience practicing law • Experience preferably in mergers and acquisitions, corporate transactions, integration, enterprise risk management, complex claims, or commercial matters • Experience coordinating complex, cross-functional projects and working with executive leadership, outside counsel, insurers, and other external advisors • Ability to prioritize multiple assignments involving a wide variety of technical and business disciplines under tight deadlines • Excellent oral and written communication skills • Experience in engineering, environmental consulting, construction, professional services, or a private equity-backed organization is preferred • Ability to handle highly confidential, privileged, and commercially sensitive information with discretion and sound judgment • Sound legal judgment and business acumen • Strong project management, organization, and cross-functional coordination skills • Ability to assess and communicate complex legal, transaction, claims, and enterprise risks • Ability to manage multiple priorities while meeting deadlines
