📋 Description

• Serve as a critical strategic advisor to executive leadership and lead corporate development initiatives • Report directly to the Chief Executive Officer • Lead internal deal teams through all phases of buy-side and sell-side GovCon transactions • Quarterback complex transactions from inception to integration • Prepare and deliver M&A transaction summaries, legal risk assessments, and financial exposure details to the C-Suite • Review target companies’ federal contract portfolios for DFARS compliance, subcontracting plans, and industrial security requirements • Author, coordinate, and submit complex novation agreement packages to Administrative Contracting Officers • Partner with the Executive Team, Corporate Development, and Business Unit leads to assess strategic fit and regulatory risks • Direct and manage external law firms and specialized GovCon consultants • Translate complex legal risks into actionable business intelligence and support strategic decision-making • Manage deal velocity, executive reporting accuracy, post-closing regulatory compliance, novation success, and outside counsel spending

🎯 Requirements

• Juris Doctor (JD) degree from an accredited law school • Active member in good standing with a state bar • Eligible for local In-House Counsel Licensure if relocating • 8 to 12+ years of corporate transactional experience • Initial training at a major law firm ("BigLaw") • Meaningful corporate in-house experience at a large federal contractor • Advanced fluency in the Federal Acquisition Regulation (FAR) • Knowledge of Small Business Administration (SBA) size affiliation rules • Knowledge of Cost Accounting Standards (CAS) • Knowledge of organizational conflicts of interest (OCI) • Ability to obtain or maintain an active U.S. Security Clearance (Secret or Top Secret) • Post-employment ethics letter required if recently employed by the U.S. government and offered employment
