📋 Description

• Assess RI Philippines’ current Securities and Exchange Commission registration and organizational structure • Determine whether transition, merger, restructuring, amendment, or other corporate action is legally required or advisable for affiliation with Relief International-France • Submit an inception briefing note within three calendar days of commencement • Conduct comprehensive legal research on current registration status, corporate structure, governance arrangements, Philippine laws, SEC rules, and compliance implications • Assess viable legal options, including maintaining the current structure, amendment of registration, restructuring, merger, or other applicable options • Analyze implications for governance, board composition, corporate documents, and affiliation with Relief International global entities • Provide implementation stages, government agencies involved, regulatory and documentary requirements, internal approvals, and indicative processing timelines • Estimate government, SEC filing, publication, professional/legal, and administrative costs • Identify governance, registration, permit, compliance, contractual, operational, legal, and implementation risks • Recommend a preferred approach, priority actions, matters requiring verification, and critical management decisions • Submit the comprehensive legal research and advisory report within five calendar days of acceptance of the inception briefing note • Present key findings and recommendations to RI management within two calendar days following report submission and revise the report if necessary

🎯 Requirements

• Legal expertise in Philippine corporate, SEC registration, governance, and related regulatory requirements • Legal research and analysis based on applicable laws, SEC rules, regulations, issuances, and other authoritative sources • Ability to prepare a written assessment identifying the legal basis for material conclusions and distinguishing confirmed information from assumptions, estimates, and matters requiring further verification • Ability to provide periodic updates and timely requests for documents or clarifications • Ability to present findings to RI management and respond to reasonable clarification questions • Compliance with Relief International policies on confidentiality and legal documentation handling • Commitment to safeguarding and safety of vulnerable communities • Compliance with RI’s code of conduct and safeguarding policies • Criminal records self-declaration, references, and other pre-employment checks, which may include police and qualifications checks

• Professional fees as stipulated in the approved engagement proposal and/or contract amendment, subject to applicable taxes • Initial payment of 50% upon signing the engagement and issuance of the required invoice • Final payment of 50% upon submission, review, and acceptance of the Comprehensive Legal Research and Advisory Report and completion of the management consultation session
