📋 Description

• Assist with drafting, reviewing, and updating affiliate, service, supplier, sponsorship, event, speaker, NDA, MSA, Order Form, SOW, and Amendment agreements • Identify key commercial and legal terms, flag deviations from standard positions, and escalate non-standard provisions • Review counterparty redlines and prepare comparison summaries and internal briefing notes • Track contract terms and deviations against approved templates, playbooks, and fallback positions • Coordinate with Affiliate, Events, Marketing, Procurement, Finance, IT, and Security teams • Conduct legal research on regulations, contract laws, and industry standards • Review speaker presentations and promotional content for compliance, including FTC endorsement and testimonial guidelines • Maintain contract trackers, logs, filing systems, and Ironclad CLM records • Track deadlines, renewal dates, and milestones and prepare status reports • Support contract due diligence, verify counterparty information, and escalate risks • Build and update quick-reference guides, checklists, clause libraries, and review playbooks • Assist with compliance-related research, legal operations projects, and process improvement initiatives

🎯 Requirements

• Recent Bachelor’s degree in Law, or currently pursuing a law degree from an accredited law school • Strong academic record and genuine interest in corporate, contract, or commercial law • Strong attention to detail and accuracy • Excellent written and verbal communication skills, with the ability to articulate complex legal concepts clearly • Ability to read dense documents carefully and flag inconsistencies, gaps, or risks • Strong analytical, organizational, and follow-up skills; ability to manage multiple contracts at different stages • Ability to handle confidential and sensitive information with discretion • Collaborative mindset; comfortable reaching out across teams to gather information and resolve issues • Proactive and reliable, with the ability to take ownership of assigned tasks while knowing when to ask questions or seek guidance • Comfortable working with Google Workspace, Slack, Microsoft Office, and AI tools such as ChatGPT and Copilot • A safe, secure computer system and fast internet connection • Coursework, internship, or project experience involving contract review, commercial law, or legal operations (preferred but not required) • Familiarity with SaaS business models or technology transactions (preferred but not required) • Basic proficiency in Google Sheets (preferred but not required) • Exposure to contract lifecycle management tools, especially Ironclad (preferred but not required)
