📋 Description

• Provide independent and objective judgment and advice on company strategy, performance, risk management, regulatory compliance, and corporate governance • Review board materials and attend board, committee, and general meetings • Actively participate in discussions and decision-making processes • Act strictly in a non-executive capacity • Do not enter into legal or other commitments or contracts on behalf of the company unless specifically authorized by the Board • Execute necessary corporate and regulatory declarations required under UAE law and VARA frameworks • Assist in maintaining Hex Trust MENA’s fit and proper standing • Prepare for and attend four scheduled board meetings per year • Be available for ad hoc meetings and regulatory discussions as required

🎯 Requirements

• Must be a legal resident of the UAE; Dubai preferred • Prior experience serving in similar roles required • Strong understanding of UAE financial regulations, local corporate laws, and VARA’s regulatory framework for Virtual Asset Service Providers (VASPs) • Full disclosure of any conflicts of interest is mandatory • Must meet VARA’s “Fit and Proper” requirements • No history of material contract breaches, fiduciary non-observance, fraud, dishonesty, criminal offenses, bankruptcy, or regulatory director disqualifications • Strict compliance with data protection policies • Corporate confidentiality during and after the appointment • Compliance with anti-corruption/anti-bribery procedures
