📋 Description

• Serve as the central legal advisor to the Development Team, ensuring legally robust structuring of SPVs (Special Purpose Vehicles) and supporting the expansion of the business model • Provide comprehensive legal support for the negotiation and execution of land and project agreements, while implementing KYC (Know Your Customer) and regulatory compliance requirements • Act as the primary legal point of contact for the entire Development Team; lead or support SPV structuring and implement optimal legal, commercial and tax setups (engaging external counsel and tax advisors as required) • Take ownership of development-phase contracts: draft, negotiate and manage land option/lease/purchase and grid connection agreements; standardize templates, monitor deviations, advise on updates and maintain audit-ready documentation • Coordinate with landowners, project managers and municipalities, and liaise with authorities (public offices, land registries) on property and contract matters • Obtain and review land registry extracts and easements, independently secure rights in rem and complete registrations • Analyse and optimise commercial contract clauses; benchmark against market practice and competitors • Track contractual payments and milestones, and initiate remedial actions where variances occur • Collaborate with institutional investors and AIFMs (Alternative Investment Fund Managers) to deliver investor-grade legal solutions

🎯 Requirements

• Fully qualified German lawyer (Volljurist, 2. Staatsexamen) or business lawyer (LL.B./LL.M.) with a focus on commercial/energy law, corporate law and contracts • Minimum of 3 years’ relevant professional experience, preferably in renewable energy, infrastructure or real estate sectors, with strong expertise in drafting, negotiating and managing complex project and land contracts • Experience in contract and project development, property and land rights, and in structuring corporate or financing frameworks is essential • In-depth knowledge of property law, easements and rights in rem, specifically for renewable energy projects (PV and BESS) • Experience in structuring and reviewing legal and commercial documentation related to SPVs, investors and financing arrangements • Ongoing monitoring of legislative developments (especially EEG, tenancy, contract and energy law) and translating changes into internal processes • Fluent in English and German, both written and spoken
