📋 Description

• Build and maintain the company’s contract repository in SharePoint or a CLM platform • Organize and track distributor agreements, supply and procurement contracts, service agreements, and software/licensing arrangements • Track contract status, key dates, renewals, and expirations • Maintain records of NDAs, standard Terms & Conditions, and executed agreements • Support contract intake and ensure fully executed contracts are properly filed and accessible • Revise, redline, and negotiate NDAs, standard Terms & Conditions, and contract modifications • Manage escalation of non-standard terms and track contracts through execution • Maintain and update corporate records for existing and newly acquired legal entities • Track annual filing requirements and deadlines across Europe, China, and Australia • Coordinate with outside counsel on Director/Officer changes, notarization, and international apostille requirements • Support M&A and internal reorganization activities, including corporate due diligence and entity integration • Participate in entity closure discussions and coordinate with outside counsel on dissolutions • Develop and organize a comprehensive Legal SharePoint site • Partner with internal IT on the in-house Contract Lifecycle Management tool • Standardize legal templates for global consistency • Coordinate outside counsel and track legal spend and invoicing within AP systems • Coordinate IP counsel with internal engineering and product teams • Assist with insurance certificate requests, wage garnishment order processing, and other ad hoc legal matters • Report directly to the General Counsel and liaise across functional areas, business units, outside counsel, consultants, accountants, and internal stakeholders

🎯 Requirements

• JD, LLM, or equivalent law degree • Previous experience in a corporate legal department focused on corporate secretarial work or legal operations • Demonstrated contract drafting and negotiation skills, including redlining and risk analysis • Familiarity with commercial terms including indemnification, limitation of liability, and warranties • Familiarity with jurisdictional requirements in Europe, China, India, and/or Australia • Familiarity with apostille processes • Common law background (UK, Ireland, India) preferred • Strong proficiency in SharePoint, Microsoft Teams, and legal tech tools • Exceptional attention to detail • Ability to work with minimal supervision in a fast-paced environment • Working hours follow the local office schedule
