• Contracts Management: Build and maintain the company's contract repository, organizing all commercial agreements including distributor agreements, supply and procurement contracts, service agreements, and software/licensing arrangements. Track contract status, key dates, renewals, and expirations. • Global Corporate Governance & Entity Management: Maintain and update corporate records for existing and newly acquired legal entities. Track annual filing requirements and deadlines across multiple international jurisdictions. Support M&A and internal reorganization activities. • Legal Operations & Knowledge Management: Build & Optimize: Develop and organize a comprehensive Legal SharePoint site to centralize D&O info, policies, and resources. Tech Implementation: Partner with internal IT on the in-house Contract Lifecycle Management (CLM) tool to ensure it meets the legal team's operational needs.
• Education: JD, LLM, or equivalent law degree. • Experience: Previous experience in a corporate legal department with a focus on corporate secretarial work or legal operations. Demonstrated contract drafting and negotiation skills, including redlining, risk analysis, and familiarity with commercial terms (indemnification, limitation of liability, warranties) preferred. • International Scope: Familiarity with jurisdictional requirements in Europe, China, India and/or Australia (including apostille processes). Common law background (UK, Ireland, India) preferred. Working hours follow local office schedule. • Tech Savvy: Strong proficiency in SharePoint, Microsoft Teams, and legal tech tools. • Skills: Exceptional attention to detail and the ability to work with minimal supervision in a fast-paced environment.
