📋 Description

• Manage the allocation of equity awards to Pennylaners (BSPCE, BSA, stock options, etc.), coordinating every step of the process from preparing documentation to supporting beneficiary employees through the allocation stages; • Oversee post-allocation stock option plan operations, particularly exercises and secondary transactions, including end-to-end execution of these operations (documentation, scheduling, coordination with HR and Finance, communication to affected Pennylaners); • Maintain and update the cap table to reflect transactions affecting ownership and ensure data accuracy; • Manage shareholder and governance registers, and handle post-transaction corporate formalities related to capital (updating shareholder registers, registers of securities movements); • Prepare minutes, shareholders’ resolutions and other governance documents related to equity transactions and, more generally, to the company’s governing bodies (AGMs, board, Chairman); • Propose and implement improvements to optimize equity operation processes using our internal tools; • Provide continuous, pedagogical support to Pennylane employees across Europe on all equity-related questions, and support the Talent Acquisition team on candidate-related equity matters; • Document internal procedures and the equity system in clear, employee-friendly language and ensure necessary education for proper understanding of the plan and its operations; • Conduct active legal monitoring to track changes in regulations applicable to employee share ownership, both in France and across Europe.

🎯 Requirements

• You have at least 4 years of experience in corporate law, specifically in managing employee equity (BSPCE, BSA, stock options, etc.), gained in a law firm or in-house. • You have a strong command of regulations governing employee share ownership and capital transactions, as well as associated legal formalities (cap table management, shareholder registers, etc.). • You demonstrate exemplary rigor and strong organizational skills to ensure reliable and accurate management of employee equity, a core company matter. • You have a taste for and skills in adopting and using innovative technological tools and integrating them (API connectors). • You are comfortable with legal tracking software and know how to use it to optimize and automate internal processes. • You are pragmatic and able to propose effective solutions while seeking simplification and agility in processes. • You have excellent interpersonal skills, allowing you to communicate easily and pedagogically with all teams and provide clear, educational answers to their equity questions. You enjoy teamwork and cross-functional collaboration, notably with HR and Finance teams. • You can manage multiple operations in parallel while keeping a strong command of the specifics and details of each. • You possess excellent communication and drafting skills in both French and English.
