📋 Description

• Partner with Origination and Commercial Team in negotiation of offtake agreements, including tolling agreements and other structured offtake • Support the Origination and Commercial Team in conducting due diligence and negotiations on M&A opportunities • Support the Origination and Commercial Team in reviewing requests for proposals and developing comprehensive bid submittals, including markups of key agreements • Function as an internal quarterback for offtake transactions, soliciting feedback and review of documents from subject matter experts and incorporating feedback into the deal structure and documents • Support the Finance Team (in conjunction with the Origination and Commercial Team) to provide commercial inputs/deliverables in connection with project finance transactions • Oversee Outside Counsel on select transactions and assist in the selection of such outside counsel

🎯 Requirements

• J.D., Required • Minimum 3-4 years of top-tier law firm experience working with (renewable) energy project development • At least 1-2 years of in-house legal experience with a renewable energy/standalone energy storage developer or investor-owned utility, focusing on resource procurement and M&A preferred • Experience leading negotiations of power purchase agreements • Experience structuring and negotiating project-scale M&A transactions • Knowledge of project finance structures and implications on project development/M&A transactions • Strong business acumen with excellent commercial judgment • Highly organized with impeccable attention to detail • Ability to effectively manage multiple priorities and deliver timely, high-quality results • A collaborative, entrepreneurial, and inquisitive mindset • Ability to effectively use Microsoft Office products – Word, Excel, Power Point • Demonstrated ability to work collaboratively and effectively in a cross-functional environment with both technical and non-technical team members who are geographically dispersed
