📋 Description

• Oversee 1Password’s Corporate Legal function and provide strategic legal guidance • Support growth, M&A activity, international expansion, financing activities, and corporate and subsidiary governance • Oversee compliance, equity, litigation, intellectual property, and marketing matters • Lead legal workstreams for mergers and acquisitions, including due diligence, negotiations, transaction document drafting and review, and coordination with advisors and stakeholders • Advise on legal considerations and regulatory requirements for international operations and expansion • Oversee corporate entities, records, governance processes, and global subsidiaries • Develop and implement corporate policies and procedures • Support Finance on insurance renewals, tax planning, financial statements, employee equity, commission plans, and strategic projects • Review marketing materials and advise on compliance requirements • Develop and deliver employee compliance training • Identify organizational legal risks and develop mitigation strategies • Manage litigation and dispute resolution matters, including external counsel and case strategies • Manage the intellectual property portfolio, including trademarks, copyrights, and patents • Serve as a trusted legal partner to leaders across the business • Report to the VP, Legal & General Counsel • Partner with Finance, Marketing, People, Corporate Development, and other business functions

🎯 Requirements

• Juris Doctor • Active bar membership in Canada or the United States • At least 10 years of relevant corporate legal experience • Experience at a nationally recognized law firm • Experience leading or supporting mergers and acquisitions, including due diligence, negotiations, transaction documentation, and post-closing integration • Strong knowledge of corporate governance, securities laws, and entity management • Experience preparing for or managing public company compliance • Experience advising on international expansion, subsidiary formation, and regulatory requirements across multiple jurisdictions • Experience supporting financing transactions and related securities law compliance • Ability to identify legal and business risks and develop practical mitigation strategies • Experience managing external counsel and coordinating cross-functional teams on complex legal matters • Excellent judgment, written and verbal communication skills, and attention to detail • Ability to manage competing priorities independently while maintaining a high standard of execution • Technology or SaaS experience preferred • Legally authorized to work in the United States or Canada; no work authorization, relocation assistance, or visa sponsorship provided • Successful applicants must complete a background check
