📋 Description

• Review realistic corporate, capital markets, securities, venture financing, and M&A matters • Compare six blinded legal deliverables labelled A–F against a common comparator output through five head-to-head comparisons • Assess transaction structures, legal reasoning, supporting documentation, disclosure schedules, securities offerings, closing requirements, legal opinions, financing structures, and transaction documents • Identify substantive legal errors, omissions, unsupported conclusions, incomplete or inaccurate legal analysis, and weak legal conclusions • Evaluate correctness, completeness, judgement, coherence, practical usefulness, and professional standards • Distinguish substantive quality differences from minor stylistic preferences • Select the stronger legal work product based on substantive quality • Provide concise, specific written reasoning for every preference decision • Reference relevant strengths, weaknesses, omissions, and legal and practical considerations • Apply practical judgement grounded in corporate, M&A, capital markets, securities, venture, and emerging-company transactions • Follow project instructions and evaluation criteria consistently

🎯 Requirements

• Qualified lawyer with substantive professional experience in corporate law, capital markets, securities, venture financing, or M&A • Strong experience in one or more of: corporate transactions; mergers and acquisitions; seller disclosure schedules; Rule 144A / Regulation S transactions; capital markets closing opinions; Series B or other venture financings • Able to evaluate legal work holistically for correctness, completeness, judgement, and practical usefulness • Strong transactional legal analysis skills • Precise written English • Comfortable comparing competing legal approaches and explaining preference decisions • Able to work independently against detailed written instructions and deadlines • All project work subject to NDA and confidentiality requirements • External AI tools must not be used on project materials • Work must be completed without using confidential or proprietary information belonging to any employer, client, institution, or other third party • H1-B and STEM OPT support is unavailable for this engagement
