📋 Description

• Design complex transactional and governance scenarios for advanced AI evaluation work • Develop reference outputs and evaluation rubrics reflecting experienced corporate-law practice • Create M&A scenarios covering deal structuring, negotiation strategy, due diligence, and transaction execution • Evaluate transaction structures for legal, commercial, and regulatory considerations • Produce legal memoranda, transaction analyses, deal documentation, and reference materials • Develop securities and capital-markets scenarios involving offerings, public-company reporting, filings, disclosures, and investor-facing materials • Assess AI-generated legal reasoning for accuracy, completeness, commercial relevance, and practical usability • Create corporate-governance tasks involving board responsibilities, shareholder rights, fiduciary duties, approvals, disputes, and corporate policies • Develop commercial-contract and transaction-document scenarios; assess risk allocation, obligations, remedies, interpretation, and drafting quality • Create corporate-restructuring and regulatory-review tasks involving SEC review, antitrust, HSR filings, and international equivalents • Evaluate interactions among legal requirements, board oversight, shareholder interests, and commercial objectives • Develop legal-research and transaction-tool scenarios using platforms such as Westlaw, Lexis, Intralinks, and Datasite • Structure complex transactional information into clear, professional legal outputs • Design expert-level AI evaluation tasks and rubrics across corporate-law and transactional workflows • Review AI-generated outputs and identify subtle reasoning errors, incomplete analyses, and unrealistic transaction recommendations • Provide clear written rationale supporting evaluation decisions

🎯 Requirements

• 5+ years of professional experience in corporate law, M&A, securities, capital markets, corporate governance, or a closely related field • Senior-level experience as a Corporate Attorney, Corporate Counsel, General Counsel, M&A Attorney, Securities Counsel, or comparable legal professional • Experience within a major law firm, investment bank, large corporation, or sophisticated in-house legal department • Direct ownership of M&A transactions, securities filings, governance matters, commercial agreements, or complex corporate transactions • Strong understanding of deal structuring, due diligence, regulatory review, and corporate governance • Familiarity with US corporate-law frameworks, UK or EU company law, or a combination of these • Experience working with regulatory approvals, board and shareholder processes, and transaction documentation • Strong written communication and ability to explain complex corporate legal reasoning clearly and precisely • JD with bar admission or an equivalent recognised international legal qualification is strongly preferred • Experience developing legal training materials, transaction documentation, evaluation rubrics, or professional review frameworks is advantageous • Must work without using confidential or proprietary information belonging to any employer, client, institution, or other third party • H1-B and STEM OPT support is unavailable for this engagement
