📋 Description

• Lead negotiations for complex commercial agreements supporting Agilent's AMPD and CDD businesses • Draft, review, negotiate, and interpret high-value commercial, supply chain, procurement, and manufacturing agreements • Develop contract negotiation strategies balancing business objectives, legal risk, regulatory requirements, and customer expectations • Provide practical legal advice on contractual risk, liability allocation, intellectual property, confidentiality, data privacy, quality and regulatory obligations, and commercial terms • Partner with business stakeholders on new business models, strategic transactions, and growth initiatives • Collaborate with Enterprise Counsel, Compliance, Intellectual Property, Procurement, Privacy, Quality, and other subject matter experts • Support dispute resolution and contract interpretation throughout the contract lifecycle • Improve contract templates, negotiation playbooks, policies, and contracting processes • Support adoption and optimization of contract lifecycle management (CLM) tools and digital solutions • Serve as a subject matter expert and mentor within the Commercial Contracts organization • Report to the Associate Vice President, Commercial Contracts • Occasional travel; day shift

🎯 Requirements

• Juris Doctor (J.D.) degree from an accredited law school • Active license to practice law in at least one jurisdiction • Post-graduate, certification, and/or license may be required • Minimum 8+ years of combined law firm and in-house legal experience • Significant experience negotiating complex commercial agreements • Experience supporting life sciences, pharmaceutical, biotechnology, healthcare, diagnostics, or related industries • Direct experience within a pharmaceutical CDMO, pharmaceutical manufacturer, biotechnology company, or equivalent organization • Experience negotiating pharmaceutical manufacturing, development, commercial supply, supplier, technology transfer, quality, procurement, or related life sciences agreements
