📋 Description

• Draft, review, and negotiate mining-related commercial agreements, including joint ventures, royalty agreements such as net smelter return (NSR) arrangements, and offtake agreements for concentrate and doré products • Support small-scale M&A transactions, including due diligence, drafting, negotiation, and other North American M&A activity • Provide legal support on corporate and securities matters • Work closely with legal and business stakeholders to understand business priorities and provide practical legal guidance • Independently manage matters and transactions with minimal supervision in a lean legal environment

🎯 Requirements

• Meaningful in-house legal experience with a mining company • Hands-on experience with mining transactions and commercial arrangements • Experience supporting corporate, commercial, M&A, joint venture, royalty, or offtake matters • Familiarity with public-company and securities matters • Licensed to practice law in an applicable jurisdiction • Experience with U.S. securities matters (preferred) • Experience working within a lean in-house legal team (preferred) • Successful completion of a background check may be required • Proof of identity and necessary legal authorization to work
