📋 Description

• Own the day-to-day contract lifecycle across the firm • Draft, review, and negotiate routine mutual and one-way NDAs using established playbook positions • Escalate deviations from playbook positions to the General Counsel • Draft and manage client Master Service Agreements and Statements of Work, including redlines against Blue Matter's standard paper • Support drafting and tracking of settlement agreements and other transactional documents • Track contract status, renewal dates, and key obligations across the active client and vendor portfolio • Own and administer the Juro contract lifecycle management platform, including intake, workflow routing, e-signature coordination, and recordkeeping • Maintain and improve contract templates and negotiation guidelines • Coordinate with Finance, People, and Consulting leads on pricing, staffing, data handling, and related contract terms • Provide administrative and organizational support for M&A due diligence and equity award recordkeeping • Promptly flag legal or business risk issues to the General Counsel

🎯 Requirements

• 3+ years of experience in contract management, paralegal work, or a similar commercial contracts role • Ideally experience in professional services, consulting, or life sciences • Strong working knowledge of NDA, MSA, and SOW structures and common negotiation points • Ability to work independently against a playbook and use good judgment about when to escalate • Experience with a contract lifecycle management tool; Juro experience is a plus, not required • Excellent written communication and attention to detail • Bachelor's degree required • Paralegal certificate is a plus • Prior in-house experience at a consulting firm, CRO, or similar services business is a plus • Some exposure to M&A process or basic corporate/entity maintenance work is a plus • Experience with a small or newly built legal function is a plus • Must be currently eligible to work in the U.S. or address U.S. work authorization requirements
