📋 Description

• Lead customer negotiations, drafting, and deal management globally for complex commercial software, support services, and professional services transactions with enterprise customers • Partner with sales leadership to align business requirements, manage the deal pipeline, and meet agreed timelines • Provide legal counsel and oversight aligned with Delinea’s business strategy, products, operations, compliance, and risk management • Support commercial transactions and M&A integration activities • Collaborate with cross-functional teams on financial and operational considerations • Partner with cybersecurity, regulatory, privacy, and compliance teams on assigned transactions • Identify and report key segment trends to influence commercial and operational strategies • Drive awareness of legal compliance and risk management guidelines • Support process improvement, automation, legal enablement, training, and guidelines • Perform other duties supporting internal stakeholders and Delinea’s strategic execution • Report to the VP & AGC, Commercial

🎯 Requirements

• JD from an accredited law school • Admitted and in good standing with at least one state bar in the U.S. • 15+ years of legal experience in business and transactional law in the technology industry • 10+ years of direct experience managing and negotiating large, complex software, SaaS, and related technology sales transactions with global enterprise customers • Prior in-house experience required • Extensive experience providing legal counsel and leading SaaS and software transaction negotiations to completion • Expertise in software licensing, SaaS, terms of use, enterprise terms, evaluations and trials, professional services, strategic ventures, distributor agreements, and partner/alliance agreements • Working knowledge of global legal considerations for B2B software licensing and SaaS, including international commercial laws, cross-border transactions, IP rights, data privacy and security, and commercial rights and remedies • Strong strategic thinking, analytical skills, and attention to detail • Ability to work independently, evaluate risks and choices, and make sound judgments amid uncertainty • Ability to prioritize and work independently with urgency and agility • Collaborative spirit and high-touch customer service approach • Integrity, ethics, and trustworthiness • Entrepreneurial spirit and ability to build trusted-advisor relationships in a global organization • Patience, sense of humor, and self-awareness • Excellent time management and organizational skills • Exemplary written and verbal communication skills • Proficiency with Microsoft Office 365 (Word, PowerPoint, Excel, Outlook, Teams) • Experience with cloud-based CLM platforms • Successful completion of a comprehensive criminal background check, education verification, and employment verification upon conditional offer
