📋 Description

• Draft, review, redline, and negotiate routine and moderately complex commercial agreements on customer and vendor sides • Review contract terms for clarity, consistency, legal and business risk, and alignment with organizational policies • Identify non-standard or higher-risk issues requiring additional review or escalation • Participate in written and verbal negotiations with counterparties and counsel • Help resolve redlines and support agreements through execution • Review commercial terms including indemnification, limitation of liability, termination, intellectual property, confidentiality, privacy and data protection, and security • Communicate with the Senior Contract Attorney and legal team regarding contractual terms, risk positions, negotiation strategy, and escalations • Work with business stakeholders to understand commercial objectives and translate requirements into contract terms • Support the contract lifecycle from intake through execution, including version control, approvals, signatures, recordkeeping, status tracking, and documentation • Use contract management systems, databases, and AI-enabled legal technology for contract review, drafting, redlining, analysis, and management • Conduct legal research on commercial contracting issues and communicate findings and recommendations • Exercise judgment within established policies and escalate matters to senior legal counsel or subject-matter resources when appropriate • Stay current on legal developments and contribute to improvements in contract templates, processes, consistency, and efficiency • Report to the Senior Contract Attorney

🎯 Requirements

• Juris Doctor degree from an accredited law school • Active membership in good standing in at least one U.S. state bar • 1-2 years of relevant legal experience, preferably involving commercial contracting • Experience drafting, reviewing, redlining, or negotiating commercial agreements • Experience using AI-enabled tools for contract review, drafting, redlining, or analysis is preferred • Strong analytical and legal research skills with close attention to detail and accuracy • Excellent written and verbal communication skills, including the ability to explain legal and contractual issues clearly to non-lawyers • Ability to organize and prioritize work effectively, manage multiple matters, and meet deadlines • Sound judgment, willingness to seek guidance and accept feedback, and ability to develop increasing independence as experience grows • Proficiency in Microsoft Office Suite • Ability to learn and use contract management software, database systems, and related legal technology • Demonstrated ability to work collaboratively with legal and business teams and build productive working relationships across the organization
