📋 Description

• Provide advice, consultation, direction, and assistance on a broad range of legal matters • Identify substantive legal issues and operational concerns and provide creative solutions or improvements • Draft, review, and negotiate client retention, vendor, technology, professional services, licensing, confidentiality, and other commercial agreements • Advise business leaders on contractual, regulatory, operational, and reputational risk • Manage contract matters independently from intake through execution • Assist with oversight of litigation matters, including outside counsel, strategy, budgets, deadlines, exposure assessments, and status reporting • Support corporate governance and entity-management functions, including annual reports, state filings, foreign qualifications, registered-agent matters, corporate records, board consents, and minutes • Partner with compliance, information security, technology, procurement, finance, and operations • Develop and maintain templates, clause libraries, negotiation playbooks, and approval workflows • Support contract lifecycle management and other legal-operations initiatives • Perform other related duties as assigned

🎯 Requirements

• J.D. from an accredited law school • Active membership in good standing in at least one U.S. jurisdiction • Approximately 5 to 10 years of relevant legal experience • Substantial commercial-contracting responsibility • Experience managing litigation and outside counsel • Experience supporting corporate governance, entity management, or corporate-secretary functions • Strong drafting, negotiation, analytical, and communication skills • Ability to manage competing priorities, exercise sound judgment, and work independently • Practical, business-focused approach to identifying and resolving risk • Experience with contract lifecycle management systems; Ironclad experience strongly preferred • Legal operations, process improvement, and contract workflow design preferred • Ability to sit or stand for long periods • Ability to remain focused for extended periods • Ability to work extra hours to accomplish goals • Ability to work on computers for a significant portion of the day • Ability to travel domestically, if necessary • All applicants applying for U.S. job openings must be authorized to work in the United States • Proficiency with Microsoft Office suite of programs and computer savvy
