📋 Description

• Provide strategic and transactional legal support to the company’s commercial efforts • Draft, negotiate, and analyze commercial contracts, including EPC and EEQ Agreements, LTSAs, Offtake Agreements, Software Agreements, procurement and supplier MSAs, lease agreements, PPAs, consultant agreements, and other origination-related contracts • Support project development and acquisition activities by preparing and negotiating interconnection agreements, land and lease agreements, MIPAs, Joint Development Agreements, and Development Services Agreements • Support project finance activities by drafting and negotiating financing, tax, and ITC agreements • Structure, draft, review, and negotiate other related commercial agreements • Develop form files for repeat transaction types • Advise business teams on construction issues including change orders, waivers, and force majeure notices • Advise on post-construction matters including warranty claims • Provide commercial legal guidance on corporate matters, intellectual property, commercial law, UCC, dispute resolution, commercial liability, and risk assessment • Support M&A activities through due diligence and negotiation • Manage and partner with external subject-matter expert legal advisors • Partner with cross-functional teams on commercial strategy, risk mitigation, and deal execution • Report to the Chief Legal Officer

🎯 Requirements

• JD from an accredited law school • Member of a state bar in good standing • 6+ years’ total work experience after law school • 3+ years' experience with EPC contract drafting and negotiations • 2+ years’ experience in power generation, renewables, and/or energy storage • Experience handling multiple legal matters successfully and efficiently across various legal areas • Ability to understand and analyze complex legal matters, summarize significant legal concerns, and communicate them effectively to businesspeople • Experience assessing legal and business risk and communicating alternatives • Ability to use rigorous logic and methods to solve difficult problems • Ability to exceed goals successfully and consistently perform at a high level • Ability to work hard and handle challenging tasks with energy • Strong written and verbal communication skills tailored to the audience and message • Ability to determine when to use outside counsel while limiting legal spend • Ability to manage workload autonomously without day-to-day oversight • Ability to manage competing priorities across multiple stakeholder groups • Ability to recognize when specialized legal expertise is required and engage outside counsel strategically • Willingness to travel domestically and/or internationally, up to 10% • Comfortable thriving in fast-paced, rapid growth environments • Must successfully pass a pre-employment background check • Energy Vault participates in E-Verify
