📋 Description

• Handle routine to moderately complex legal projects under the direction of the General Counsel • Provide comprehensive legal guidance across AFT’s nonprofit operations • Act as legal liaison for AFT programs • Draft, review, and negotiate programmatic legal documents • Advise on advocacy, lobbying, ethics laws, nondisclosure agreements, and legal research • Manage entity formations, management, and dissolutions • Draft, review, and negotiate contracts, subawards, MOUs, donor agreements, and other agreements • Advise on federal and state grant compliance, including OMB Uniform Guidance • Advise development staff on commercial co-ventures, corporate sponsorships, and fundraising matters • Support contract templates and contracting processes • Advise on intellectual property protection and management • Review and negotiate intellectual-property licensing agreements • Oversee trademark registration, maintenance, and infringement matters • Advise management and HR on employment law, employment policies, and compliance • Coordinate with outside employment counsel • Support workplace investigations and advise on remedial action • Provide legal support for internal controls and policies • Address data privacy, cybersecurity, and records-retention matters • Manage litigation and oversee outside litigation counsel • Evaluate legal claims and defenses and provide strategic recommendations • Coordinate discovery responses and document preservation • Support land projects, including conservation easements, real-property gifts, leasing, and other real-property transactions • Draft land-project agreements and review partner documentation • Advise on conservation easement stewardship, enforcement, and defense • Support materials for AFT’s Land Projects Committee • Research real-property law issues • Serve as a trusted legal advisor to all departments • Conduct legal research and analysis • Develop and deliver staff training on legal compliance • Support special projects and initiatives requiring legal input • Monitor developments in tax-exempt organizations law, real-estate law, and related areas • Perform other assigned legal duties

🎯 Requirements

• Bachelor's degree • Juris Doctor • Admission to state bar • 3+ years legal experience or commensurate general legal and contracting experience • Experience advising for-profit or non-profits on a wide range of business matters • Experience advising non-profits on a wide range of business and compliance matters • Familiarity with OMB Uniform Guidance • Experience with real estate transactions and conservation easements a plus • Familiarity with agricultural land protection and agricultural conservation easements a plus • Familiarity with working with public agencies a plus • Excellent written and oral communication skills • Ability to draft quality legal documents quickly • Ability to respond promptly and helpfully to staff needs • Aptitude for independent work and exercising good judgment to manage legal risk • Comfortable working in multiple jurisdictions and managing multiple projects in a decentralized environment • Strong interpersonal skills and ability to work cooperatively and constructively as a member of a team • Ability to anticipate problems and identify probable issues of concern in advance • Ability to change the thinking of, or gain acceptance of, others in sensitive situations • Ability to work effectively within a structured and collaborative organizational environment • Adaptability, sound judgment, accountability, professionalism, emotional intelligence, and a solutions-oriented mindset • Ability to work within established leadership structures and enterprise-wide decision-making processes • Ability to work occasional evenings or weekends as needed • Resume, screener-question responses, and cover letter required • Admission to a state bar is required
