📋 Description

• Serve as lead lawyer for one or more portfolios of solar and/or BESS projects from pipeline entry through exit • Partner with development, construction, capital markets, and internal subject-matter experts • Manage external consultants and local and national counsel • Negotiate and conduct diligence for project acquisitions, including LOIs, MIPAs, and APAs • Source and manage specialist counsel and oversee legal due diligence • Support development activities, including revenue contracts, regulatory filings, and real estate/entitlement cleanup • Support procurement and execute purchase orders for key equipment • Support construction execution, including prime EPC agreements and key construction subcontracts • Lead negotiation and execution of project finance transactions, including tax credit insurance, tax credit sales, construction debt, permanent debt, tax equity, and preferred equity • Support operational-period contracting, including asset management, O&M, and other operational contracts • Handle key regulatory filings and submissions, including NERC and MBR matters • Lead project monetization transactions, including LOIs, MIPAs, equity sale documentation, and back-leverage, portfolio, and Holdco debt • Act as intermediary between internal commercial counterparts, outside legal counsel, external counterparties, and internal project leads • Take responsibility for external counsel’s work product and day-to-day legal activities • Report to the General Counsel

🎯 Requirements

• 7-9 years (for Senior Counsel) or 5-6 years (for Counsel) of post admission experience working within the renewable industry, coming from a law firm with an energy practice group and/or solar or energy storage development company • Deep expertise in most (for Senior Counsel) or many (for Counsel) of the listed workstreams • Sound understanding of workstreams outside the candidate’s subject matter expertise • Seasoned transactional lawyer and advocate with a deep understanding of contract fundamentals • Sound commercial awareness and desire to understand commercial decisionmaking • Intellectual curiosity and interest in the energy industry • Comfort with discomfort and ability to execute and protect the company in challenging circumstances • Skilled at identifying and advising on risk mitigation strategies in energy projects • Robust awareness of regulatory elements of US power markets, including FERC and NERC • Persuasive and effective communicator and negotiator with internal and external business clients • Ability to translate complex concepts into compelling advocacy for non-legal audiences • In-house legal department experience is a significant plus
