📋 Description

• Serve as legal lead on ABS transactions, debt and structured debt deals, and M&A transactions • Draft, review, and negotiate transaction documents, credit facilities, and third-party contracts • Support IPO readiness projects and SEC reporting obligations • Manage outside counsel on Capital Markets and Finance matters • Track legal and market developments affecting the business and flag issues early • Support corporate governance work, including board and committee meeting preparation and corporate resolutions • Own legal support for the capital markets and securitization program and the Finance team • Report to the Deputy General Counsel

🎯 Requirements

• JD from an accredited law school • Active membership in good standing in at least one U.S. state bar • 5+ years of relevant law firm experience or 7+ years of relevant in-house or combined legal experience • Hands-on experience drafting, reviewing, and negotiating complex corporate agreements • Demonstrated experience supporting SEC reporting obligations, including 10-K, 10-Q, 8-K, and proxy statements • Strong working knowledge of current SEC rules and disclosure requirements • Exceptional analytical, writing, and communication skills • Ability to translate legal issues for non-lawyers • Strong organizational and project management skills • Ability to prioritize and execute independently without day-to-day direction • High standard of integrity, humility, and sound judgment • Ability to work remotely with periodic required travel for team gatherings and business needs • New applicant employment authorization sponsorship is not provided
