📋 Description

• Serve as legal lead on ABS transactions, debt and structured debt deals, and M&A transactions • Draft, review and negotiate transaction documents, credit facilities and third-party contracts with partner banks, service providers and technology vendors • Support IPO readiness projects, including processes for current and future SEC reporting obligations • Manage outside counsel on Capital Markets and Finance matters • Track legal and market developments affecting the business and flag issues early • Support corporate governance work, including board and committee meeting preparation and corporate resolutions • Provide legal support for the Finance team and capital markets and securitization program • Partner with Capital Markets and Finance executives • Report to the Deputy General Counsel

🎯 Requirements

• JD from an accredited law school • Active membership in good standing in at least one U.S. state bar • 5+ years of relevant law firm experience or 7+ years of relevant in-house or combined legal experience • Strong, hands-on experience drafting, reviewing and negotiating complex corporate agreements • Demonstrated experience supporting SEC reporting obligations, including 10-K, 10-Q, 8-K and proxy statements • Strong working knowledge of current SEC rules and disclosure requirements • Exceptional analytical, writing and communication skills • Ability to translate legal issues for non-lawyers • Strong organizational and project management skills • Ability to prioritize and execute independently without day-to-day direction • High standard of integrity, humility and sound judgment • Able to work remotely, with periodic required travel for team gatherings and business needs • Preferred: background in structured finance beyond ABS, including warehouse lending facilities, whole loan sales or forward flow arrangements • Preferred: familiarity with consumer financial products and related regulations • Preferred: in-house experience at a late-stage private company, including investor relations or pre-IPO readiness work • Mission Lane is not sponsoring new applicant employment authorization
