📋 Description

• Provide strategic and business-oriented legal advice to executive leadership on enterprise risks, governance, compliance, and business initiatives through the turnaround process • Partner with business leaders to identify risks and develop practical, business-focused solutions • Advise on enterprise digital and technology transformation initiatives and related legal, contractual, and risk frameworks • Lead the strategic rebuild of legal functions and optimize legal services and operations • Design and implement outsourced and lower-cost legal delivery models using alternative legal service providers and scaled resources • Oversee departmental budgeting, resource allocation, outside counsel management, and organizational planning • Lead and manage legal, privacy, and related teams • Support the General Counsel in Board of Managers and committee matters • Serve as backup Corporate Secretary and prepare board materials, resolutions, minutes, and governance documentation • Advise on corporate governance, fiduciary duties, delegated authorities, subsidiary governance, and Board reporting structures • Oversee subsidiary and intercompany structures and entity management • Lead enterprise data governance initiatives, data inventories, remediation, and data cleanup programs • Advise on privacy-by-design, data retention, incident response, and information governance • Lead AI integration initiatives and develop, customize, and deploy AI, ML, and related technologies • Develop and oversee artificial intelligence governance and responsible AI use policies and frameworks • Provide advice on employment, labor, regulatory, and compliance matters and support internal investigations • Lead remediation of HR legal documentation and compliance gaps • Lead and support mergers, acquisitions, divestitures, corporate restructurings, and strategic transactions • Advise on corporate financings, debt transactions, and related financing arrangements • Support acquisition diligence and integration planning • Provide legal support for ESG initiatives and reporting programs • Advise on EEO compliance, inclusive workplace culture, talent practices, and workforce policy • Partner with Communications and executive leadership on public relations and crisis management matters • Support enterprise-wide strategic initiatives assigned by the General Counsel • Determine appropriate staff resourcing and support mentoring and professional growth • Help define annual Key Performance Indicators aligned with corporate goals • Direct change management initiatives to drive cross-functional improvements and efficiencies • Prepare and manage assigned budgets and analyze variances

🎯 Requirements

• Juris Doctor (J.D.) degree from an accredited law school • Active membership in at least one U.S. state bar • 12+ years of progressively responsible legal experience, including both law firm and significant in-house experience • 10+ years of leadership experience • Expertise designing, deploying, and managing lower-cost, technology-enabled legal delivery models, including ALSPs, legal operations tools, and outside counsel spend optimization • Knowledge of organizational transformation strategies and rebuilding legal functions • Knowledge of data governance, data remediation, and enterprise data management principles and practices • Knowledge of artificial intelligence technologies, AI security and governance, and emerging AI regulatory frameworks • Knowledge of employment law compliance and remediation of employment documentation, agreements, policies, and handbooks • Knowledge of global privacy laws and regulations, employment and labor law, and corporate governance and Board support • Knowledge of mergers and acquisitions, corporate financings, and subsidiary management • Ability to design and implement technology-enabled legal operations that improve efficiency and reduce cost • Ability to lead enterprise legal transformation initiatives with measurable operational and financial improvements • Ability to manage outside counsel and legal operations across multiple practice areas • Ability to influence and advise executive leadership and Boards of Managers • Excellent written, verbal, and interpersonal communication skills • Strong executive presence • Exceptional judgment and business acumen • Strong analytical and strategic thinking abilities • High attention to detail • Ability to balance legal risk with business objectives • Ability to lead complex, cross-functional initiatives and drive organizational change • Preferred: Experience operating in organizations undergoing significant transformation, growth, or restructuring • Preferred: Experience in cost-disciplined, tech-leveraged, and highly regulated industries • Preferred: Public company experience, including Board governance and SEC-related matters, as well as private company practice • Preferred: Experience leading a privacy function through transformation and rebuild • Preferred: Experience supporting public relations, crisis communications, and reputation management initiatives • Preferred: Experience with ESG and related programs
