📋 Description

• Report directly to the General Counsel • Draft, review, and negotiate commercial agreements, including SaaS subscription agreements, MSAs, SOWs, RFPs, and NDAs • Serve as the primary legal point of contact for the Sales team throughout the deal cycle • Partner with Account Executives and sales leadership to structure terms, manage risk, and close deals efficiently • Partner with Deal Desk, Revenue Operations, and Finance on pricing, discounting, and revenue-sensitive deal terms • Advise on data privacy and security terms in customer agreements • Partner with Privacy and Security teams as needed • Own and continuously refine contract templates, fallback positions, and negotiation playbooks • Improve consistency, reduce turnaround time, and enable sales self-service on standard terms • Negotiate and manage partner, reseller, and vendor/procurement agreements • Support contract renewals, upsells, and amendments • Answer post-signature contract interpretation questions from Customer Success and Account Management • Identify and help implement ways to streamline and scale the contracting process, including AI-assisted contract drafting and review

🎯 Requirements

• 4+ years of experience negotiating and structuring commercial agreements, with a focus on SaaS/technology transactions • In-house and/or law firm experience considered • JD from an accredited law school • Active membership in at least one U.S. state Bar in good standing • Developed knowledge of core SaaS commercial concepts • Working knowledge of data privacy frameworks • Strong business judgment and comfort making pragmatic, risk-adjusted decisions independently and under time pressure • Excellent communication skills and ability to translate legal concepts for non-legal business stakeholders • Ability to build trusted relationships with Sales and other GTM partners • Comfortable operating in a fast-paced environment with competing priorities and a high volume of concurrent matters • Experience with AI-assisted contracting tools
