📋 Description

• Serve as in-house legal counsel within the Legal department • Draft, review, and negotiate commercial contracts, including master service agreements, statements of work, non-disclosure agreements, and vendor agreements • Negotiate contract terms with internal stakeholders, potential clients, and vendors • Review and redline contract language proposed by external counterparties • Advise stakeholders across all divisions on contract terms, obligations, and interpretation • Track contract negotiation status and maintain version control and records of finalized agreements • Recommend improvements to contract templates and negotiation playbooks • Research and interpret laws, regulations, and industry standards affecting business contracts • Advise on amendments, renewals, and terminations of existing agreements • Identify and assess legal and contractual risks and recommend mitigation strategies • Support development of risk-related contract clauses and internal contracting guidelines • Coordinate with stakeholders to resolve contract-related risk issues • Prepare, edit, and maintain corporate resolutions, entity and D&O charts, and other corporate records • Escalate novel, high-risk, legal, or reputational matters to the Associate General Counsel • Travel domestically 5-10%

🎯 Requirements

• JD from an accredited law school • Membership in good standing of any United States state bar • 5-7 years of experience in law (firm, corporate, or both) • Active license to practice law (state bar admission in good standing) • Prior in-house legal department experience in commercial contracting and corporate maintenance preferred • Insurance or financial services experience preferred • Certified Commercial Contracts Manager (CCM) certification preferred • Knowledge and understanding of corporate law and procedures • Ability to understand laws and draft contracts related to delivery of services and products • Ability to apply regulatory and legal knowledge in recommending trade-offs • Experience with legal research platforms and regulatory databases required • Applied knowledge of contract law, risk allocation principles, and negotiation methodologies • Familiarity with data privacy and confidentiality considerations in commercial agreements • Contract lifecycle and document management systems experience preferred • Ability to manage multiple concurrent negotiations and deadlines • Must reside within the United States • Must be legally authorized to work in the United States
