📋 Description

• Monitor and advise the Company on healthcare requirements, especially federal and state Medicare and Medicaid statutes, regulations, policy, and related developments • Provide legal analysis of healthcare-related case law and policies and their potential impact on client programs, policies, and operational strategy • Identify related risks and support relationships with external legal counsel on healthcare-related finance and policy issues • Provide broad-based legal counsel across corporate governance, compliance, and general business matters • Identify legal risk and provide practical, business-oriented advice to management and internal stakeholders • Advise on and represent the Company in state/local government and commercial contract negotiations • Examine, prepare, review, and edit contracts, procurement documents, proposals, and other legal documents • Draft BAAs, Data Use Agreements, and similar documents • Assist with all phases of M&A activities, including due diligence, deal documents, outside counsel management, and integration • Review external marketing materials for legal compliance and accuracy • Support internal team projects, risk mitigation strategy, and oversight and management of outside counsel engagements

🎯 Requirements

• Law Degree from an ABA accredited institution • Admission in good standing in at least one U.S. jurisdiction required • Admission in good standing, or ability to obtain admission as corporate counsel within one year, to the Pennsylvania Bar required • 5 to 7 years of professional legal experience • Broad generalist experience across corporate and commercial matters • Substantial experience in healthcare-related legal matters, such as Medicaid, Medicare, managed care, or provider/health system work • Knowledge of common law and state and federal laws relevant to Company business, including Medicare and Medicaid • Ability to conduct legal research and interpret, analyze, and organize facts, evidence, and precedents • Ability to interpret and draft contracts and other legal instruments • Familiarity with contract management systems and compliance tools preferred • Excellent verbal and written communication skills • Excellent interpersonal and customer service skills • Excellent organizational skills and attention to detail • Excellent time management skills with a proven ability to meet deadlines • Strong analytical and problem-solving skills • Ability to function well in a high-paced and at times stressful environment • Ability to maintain confidentiality and exercise discretion and good judgment
