📋 Description

• Serve as a trusted legal advisor on commercial transactions to senior leadership and cross-functional business partners • Draft, review, negotiate, and advise on commercial and technology agreements, including SaaS, customer and vendor, licensing, payment processing, data-related, confidentiality, partnership, and other complex agreements • Lead legal support for complex commercial negotiations • Provide legal guidance on data privacy and security and support the company’s global privacy program • Monitor privacy, technology, and regulatory requirements and translate developments into actionable business guidance • Partner with Sales, Finance, Technology, Product, HR, Operations, and other functions to identify legal risks and develop practical solutions • Advise business teams on contractual obligations, interpretation, compliance, and risk • Support mergers and acquisitions, including due diligence, transaction execution, integration, and corporate matters • Provide counsel on customer disputes and collection matters, including managing outside counsel when appropriate • Develop and improve templates, playbooks, and contracting practices • Support contract lifecycle management and other Legal department technology • Handle sensitive and confidential matters with sound judgment and discretion • Manage multiple complex matters independently, accountably, and urgently • Support the Chief Legal Officer & General Counsel on strategic initiatives, special projects, and other legal matters

🎯 Requirements

• Juris Doctor (JD) from an accredited law school • Active membership in good standing with the bar of at least one U.S. jurisdiction • 8–10+ years of progressively responsible legal experience, with significant in-house experience strongly preferred • Experience supporting a SaaS, software, technology, or similarly complex business environment • Significant experience drafting and negotiating sophisticated commercial and technology transactions • Strong knowledge of SaaS agreements, software licensing, data privacy, data security, and technology-related legal issues • Experience advising senior executives and business leaders on complex legal, commercial, and risk matters • Experience supporting M&A transactions, corporate matters, litigation, or regulatory compliance is strongly preferred • Combination of top-tier law firm and in-house technology/SaaS experience is preferred • Exceptional legal judgment and ability to provide clear, actionable recommendations • Strong business acumen and understanding of commercial and strategic objectives • Executive presence and credibility with senior leaders • Highly skilled negotiator for complex, high-stakes commercial matters • Strong written and verbal communication skills • Solutions-oriented mindset • Ability to operate independently with minimal supervision • Ability to prioritize and manage multiple complex matters • Strong interpersonal skills • Integrity, discretion, accountability, and attention to detail • Adaptability in an evolving, growth-oriented environment • Current and continued residency in the United States • Permanent resident of the United States
