📋 Description

• Negotiate and draft complex transactions, including asset management agreements, commercial contracts, and M&A transactions • Lead negotiation of Master Services Agreements, O&M Agreements, project-related documentation, NDAs, SaaS contracts, licensing agreements, SREC Purchase and Sale Agreements, and vendor contracts • Build and standardize contracting templates, fallback positions, playbooks, and approval workflows • Design deal processes from term sheet through close • Build internal diligence, approval, and risk-flag checklists • Reduce outside counsel dependency over time • Integrate with business operations and finance teams • Translate legal advice into operational processes • Advise the General Counsel, executive team, and Board on corporate governance and fiduciary duties • Prepare resolutions and Board presentations and maintain corporate records • Manage entity and subsidiary governance • Support M&A, joint ventures, and investments, including due diligence and integration • Advise on deal structuring and risk allocation • Build corporate legal infrastructure and scalable frameworks for a growing business

🎯 Requirements

• Juris Doctor from accredited law school • Active bar membership • 7–12+ years of experience; law firm and in-house experience strongly preferred • Significant exposure to renewable energy/solar project finance, asset management, or infrastructure deals • Experience with U.S. federal and state regulatory compliance • FERC and NERC regulatory experience helpful • Excellent drafting and negotiation skills • Strong analytical skills • Demonstrated ability to integrate legal advice and practical business requirements • Project management / programmatic building skills • Ability to leverage emerging technologies, including AI, to improve processes and drive efficiency
