📋 Description

• Serve as the senior-most legal, compliance, and privacy authority at Wellspring Worldwide • Own legal strategy, contracts, M&A, litigation, intellectual property, corporate governance, and international expansion • Own regulatory compliance, internal controls, security policy frameworks, and personal data governance • Ensure operations comply with international, national, and local laws and regulations • Identify, analyze, and manage legal risks across multiple jurisdictions • Establish and maintain policies and procedures to mitigate legal risks • Draft, review, and negotiate commercial, employment, vendor, and partnership contracts • Manage cross-border transactions and contracts • Advise on corporate governance and support board meetings, resolutions, registrations, and annual filings • Monitor regulatory changes and ensure timely compliance across operating jurisdictions • Design, implement, and maintain the internal controls framework • Develop security-related policies and compliance frameworks with IT/CISO • Manage regulator relationships and regulatory inquiries or investigations • Lead compliance risk assessments and report to the executive team and board • Maintain the personal data governance framework and ensure GDPR, CCPA, UK GDPR, and other global privacy compliance • Oversee litigation, arbitration, and disputes, coordinating with external counsel • Safeguard global intellectual property registrations, infringements, disputes, and portfolio tracking • Lead adoption and governance of AI tools across legal, compliance, and privacy functions • Advise on AI-related legal risk, data privacy, and emerging regulations including the EU AI Act and state AI laws • Advise senior leadership and provide internal training on contracts, compliance, privacy, contract management, and responsible AI tool use

🎯 Requirements

• JD, LLB, or equivalent degree from an ABA-approved law school • Licensed to practice law in at least one U.S. jurisdiction • 5-7 years of experience in a similar role with international exposure in a multinational corporation or law firm • Demonstrated experience serving in or alongside a Data Privacy Officer function, with hands-on GDPR compliance ownership • Proven experience managing internal controls frameworks and regulatory compliance programs (CCO-equivalent experience) • Strong knowledge of international business law, regulations, and best practices • Exceptional negotiation, drafting, and communication skills • Strong organizational and project management skills; ability to manage external counsel and legal budgets • Experience in SaaS, tech transfer, or adjacent technology industries • Hands-on experience evaluating, procuring, or implementing legal technology or AI tools
