📋 Description

• Work on the corporate law routine for the group's entities in Brazil, covering private companies and, when required, matters related to public companies and the capital markets. • Draft, review and coordinate corporate acts for limited liability companies and joint-stock companies, including minutes of board and board of directors meetings, partners' meetings, shareholder meetings, amendments and consolidations of articles of association and bylaws. • Handle recurring matters related to changes in share capital, opening of branches and other corporate reorganizations. • Coordinate approval, signature and corporate formalization workflows, ensuring compliance with legal requirements and corporate governance. • Lead and/or support registration and regularization processes of corporate acts before Commercial Registries, the Federal Revenue Service, and state and municipal authorities, as well as arrange applicable corporate publications. • Draft, review and manage public and private powers of attorney for the Brazilian companies within the corporate group. • Serve as the focal point for internal corporate matters, providing legal advice to business areas on applicable procedures, approvals and requirements. • Update corporate organizational charts, internal controls, indicators (KPIs), reports and the company's corporate records. • Interface with internal areas and external law firms to manage corporate matters and implement corporate operations. • Support corporate transactions and M&A projects, assisting in identifying required approvals, risks and business impacts. • Contribute to the organization, structuring and continuous improvement of the company's corporate processes and controls.

🎯 Requirements

• Law degree with active registration with the Brazilian Bar Association (OAB). • Previous experience in Corporate Law, preferably in corporate legal departments or law firms with a strong corporate practice. • Experience drafting and reviewing corporate acts for limited liability companies and joint-stock companies, including corporate filings and maintenance of corporate books and records. • Experience with registration processes before public authorities and handling recurring corporate obligations. • Knowledge of corporate governance and corporate advisory work. • Experience with public companies, capital markets, Brazilian Securities Commission (CVM) regulations and M&A transactions will be considered a plus. • Organized, proactive profile with a problem-solving mindset. • Ability to coordinate multiple matters, manage priorities and engage with different stakeholders. • Strong interpersonal communication, autonomy, ownership mentality and a systemic view of the corporate environment.
