📋 Description

• Support SEC reporting and public-company compliance, including preparation, review, and filing of Forms 10-K, 10-Q, and 8-K and the annual proxy statement • Support Section 16 compliance and reporting • Support corporate governance and secretarial functions, including Board and committee agendas, resolutions, meeting minutes, and the Annual Stockholder Meeting • Lead entity formation and ongoing entity maintenance with the Senior Corporate Paralegal, including foreign qualifications, state filings, and accurate searchable records • Support capital markets and financing activity, including cap table management and due diligence • Support mergers, acquisitions, and other strategic transactions, including diligence and signing and closing workstreams • Support equity compensation and HR-related agreements, including equity award administration and expanding equity offerings to staff outside the U.S. • Collaborate with Finance, Accounting, Commercial, HR, Communications, and other teams • Lead cross-functional initiatives requiring definition, cooperation, and conflict resolution with peers and senior leadership • Report to the Senior Director, Corporate & Securities

🎯 Requirements

• Juris Doctor (J.D.), Master of Laws (LL.M.), or substantially equivalent legal degree from a recognized institution in India, including an Indian LL.B. or comparable law degree qualifying the holder for legal practice or advanced legal study • Minimum of 3+ years of relevant experience in U.S. corporate and securities law at a top U.S. law firm and/or in-house at a U.S. public company • Strong experience in public-company governance and SEC reporting, corporate structures, earnings cycles, investor relations, and regulatory deadlines • Strong drafting skills across securities filings, governance documents, and transactional agreements • Knowledge of relevant legal concepts, terminology, and processes • Proficiency with Workiva, Diligent, SimpleLegal, Lexion, Toppan Merrill, and Microsoft Office suite tools including Word, Excel, PowerPoint, Outlook, and Teams • High degree of professionalism and trustworthiness • Demonstrated ability to handle highly confidential information with discretion • Proven experience working with U.S.-based business teams • Excellent written and communication skills in English • Ability to work 8 hours excluding breaks, including 4 core U.S. hours of overlap from 7:30 p.m. to 11:30 p.m. IST and 4 flexible hours in IST • Quiet workspace • Internet connection of at least 30 Mbps download and 10 Mbps upload
