📋 Description

• Draft, review and negotiate contracts, including MSAs, SOWs, NDAs, DPAs, software, SaaS, licensing and vendor agreements • Independently manage contract negotiations with clients, vendors and external counsel • Identify legal and commercial risks and provide practical solutions and fallback positions • Advise internal teams on legal matters arising in different jurisdictions, with a focus on the US and Europe • Support IP-related matters, including software ownership, licensing, copyright and trademarks • Support corporate, compliance, privacy and other legal matters as needed • Conduct legal research and prepare clear, concise legal advice

🎯 Requirements

• Master’s degree in Law • 3+ years of relevant legal experience, preferably in an IT or technology company • Strong experience drafting and negotiating commercial and technology contracts governed by US law and/or English law • Good understanding of key technology-contract issues, including liability, indemnities, IP, data protection, information security and licensing • Advanced English and Ukrainian • Practical experience using generative AI tools in legal work • Understanding of the US tax system • Experience in the IT services, software development or outsourcing industry • Experience with privacy, cybersecurity or AI-related legal matters • Experience with information security and privacy frameworks or assurance standards, including ISO 27001, ISO 27701, SOC 2 or NIST frameworks • Experience implementing or building legal-tech or automation tools, including AI-assisted development or vibe coding
