📋 Description

• Lead negotiation of complex commercial agreements, including software licensing, SaaS services, OEM arrangements, R&D agreements, and inbound/outbound IP licensing • Partner with business leadership and sales on commercial contract strategies • Manage end-to-end contract processes for routine and complex transactions • Advise on global distributor management, renewals, terminations, disputes, and mandatory local rules • Support legal work for TraceGains, GlobalVision, and X-Rite Pantone • Provide backup coverage for Esko’s US-side legal work • Advise on business model structuring and corporate matters • Support M&A transactions, due diligence, and transaction documentation • Develop and deploy legal AI tools, including Microsoft Copilot and Claude • Design AI use cases, prompts, workflows, testing, and responsible-use guidelines • Build and maintain legal templates, negotiation guidelines, playbooks, and RACI/RACIS frameworks • Collaborate with R&D and product teams to anticipate legal needs for new products • Build regulatory watch capabilities covering cybersecurity, AI, data management, and data protection • Educate business leaders and sales/service teams on anti-corruption, competition law, and compliant practices • Help recruit and develop a future nearshore legal resource and Legal Center of Excellence • Collaborate with the broader Veralto legal team to share best practices and improve legal processes

🎯 Requirements

• Master’s degree in law (Master 2 or equivalent) from a French or EU institution • Qualified lawyer admitted to a bar (e.g., French bar / CAPA, or equivalent in another jurisdiction); current registration or active practice at a bar is not required • At least 8 years of experience in commercial law, focused on software licensing, SaaS agreements, and hosted services • Experience in an international law firm, multinational company, or both • Experience independently negotiating complex, high-value commercial agreements with large multinational counterparties, in English and under multiple governing laws • Experience with anti-corruption compliance programs and competition law, including third-party compliance frameworks and EU competition rules • Hands-on experience with legal technology and AI tools • Experience building or improving contract templates, playbooks, or legal operations tools • Ability to translate complex legal concepts into practical guidance for non-legal stakeholders, including R&D teams • Full professional fluency in English, written and spoken • Willingness to travel domestically and internationally up to 20% of the time • Preferred: in-house experience in a technology, software, or SaaS company • Preferred: background in IT security, data privacy, AI regulation, GDPR, NIS2, Data Act, or EU AI Act • Preferred: experience managing, coaching, or mentoring junior lawyers or setting up a legal CoE • Preferred: familiarity with US commercial law or experience alongside US legal teams • Preferred: M&A experience, including due diligence and documentation • Preferred: experience negotiating with large multinationals in consumer packaging, automotive, food and beverage, pharmaceutical, or electronics • Preferred: additional language proficiency such as German, Spanish, or Dutch
