📋 Description

• Provide comprehensive legal advice and support for the fiduciary aspects of ABB's U.S. operations • Lead end-to-end Legal & Integrity fiduciary duties, corporate governance, and compliance for all U.S. legal entities • Manage corporate secretarial services, regulatory filings, and contractor licensing • Advise the U.S. Country Holding Officer and senior management on governance, compliance, risk mitigation, strategic legal matters, mergers and acquisitions, and license-to-operate requirements • Oversee integrity investigations, government contracting compliance, data privacy and protection, cybersecurity, and regulatory certifications • Ensure alignment with internal audit, HSE, and risk management standards across business areas • Provide counsel on contracts, commercial agreements, and shared legal entity matters • Harmonize legal processes while supporting business-area-specific needs • Supervise paralegal staff • Collaborate with global Legal & Integrity centers of excellence on IP, antitrust, and litigation topics

🎯 Requirements

• Juris Doctorate from an accredited U.S. law school • Active bar admission • Minimum 10 years of experience in corporate/commercial law • Preferably experience in multinational manufacturing/corporate environments and/or top-tier law firms • Ability to manage fiduciary responsibilities and corporate governance within a decentralized organization • Business-focused legal judgment with experience in process improvement, risk mitigation, and optimization of legal operations • Proficiency in contract review, drafting, and negotiation; mergers and acquisitions; and corporate secretarial functions, including filings and compliance • Deep understanding of data privacy and protection laws, U.S. government contracting, contractor licensing, and related regulatory frameworks • Familiarity with finance, treasury, risk management/insurance • Preferred experience in antitrust, intellectual property, and IS/IT-related legal matters • Candidates must already have work authorization permitting them to work for ABB in the United States
