📋 Description

• Provide comprehensive legal support to the organization • Draft, review, and negotiate technology-related agreements, product supply agreements, customer contracts, bid documents, and service agreements • Advise and provide solutions to internal business clients • Provide legal advice regarding contract disputes, corporate governance, AI, and compliance matters • Coordinate outside counsel support when needed • Work with leaders in Sales, Supply Chain, Merchandising, and other internal personnel to identify and mitigate risks • Maintain streamlined, organized, and efficient contract policies and procedures • Establish contract playbooks and standard template language • Develop negotiation strategies with internal business partners • Evaluate risk exposure and make recommendations to business partners • Build trusted advisor relationships with senior management and business leaders • Facilitate creative problem-solving and informed decision-making • Recruit and manage a team of contract specialists • Lead legal projects involving process optimization, template governance, M&A integration, internal policy development, regulatory and due diligence, legal technology implementation and management, and strategic initiatives

🎯 Requirements

• J.D. from an accredited law school • Active state bar membership • 5-15+ years of corporate/commercial law experience • Significant experience negotiating procurement, distribution, logistics, customer and/or supplier agreements • Expert knowledge of commercial contract law, procurement agreements, supplier contracts, bid processes including public procurement compliance, and distribution arrangements • Demonstrated ability to draft, negotiate, and administer complex commercial agreements with customers, suppliers, transportation providers, and strategic partners • Strong understanding of supply chain operations, sourcing strategies, inventory management, logistics, warehousing, and distribution networks • Expertise in identifying, assessing, and mitigating legal and business risks • Working knowledge of corporate governance principles, M&A issues, real estate matters, data privacy laws, and regulatory compliance requirements • Strong project management capabilities and ability to manage multiple high-priority matters in a fast-paced environment • Proven ability to support acquisitions, integrations, and organizational growth initiatives • Strong background in corporate governance, corporate structures, and entity management • Experience implementing and managing legal technology solutions, including CLM and AI platforms or add-ons • In-house and M&A experience preferred
