📋 Description

• Advise and support the capital markets team in developing the company’s network of capital sources and strategies, including international expansion • Advise and support the bank partnerships team in developing the network of originating and card-issuing partner banks • Independently lead financing transactions or bank partner initiatives from legal strategy through execution and post-closing maintenance • Draft, review, and negotiate US and international capital markets deal documents, including credit and security agreements, loan sale agreements, indentures, officer certificates, board and shareholder resolutions, and side letters • Provide legal expertise on lending and securities laws and regulations for capital markets transactions • Communicate legal advice clearly, concisely, and promptly • Coordinate with cross-functional teams as the legal point of contact for capital markets and/or bank partnerships • Provide thought leadership on special projects • Report to the Director, Capital Markets Counsel and work closely with capital markets and bank partnerships business teams

🎯 Requirements

• 7+ years of relevant law-firm experience • Additional in-house experience preferred, particularly from a high-growth fintech start-up • JD degree from a well-regarded law school • Membership in good standing in a US state bar • Legal experience in structured and/or debt finance, including term, revolving, and asset-based lending; warehouse and asset-backed financing; loan sales; securitizations; and creative forms of funding • Expert understanding of financing and corporate transactions • Expert knowledge of lending and securities laws and regulations relating to capital markets transactions • Outstanding integrity and work ethic • Excellent business judgment and interpersonal skills • Strong interpersonal and problem-solving skills • Meticulous attention to detail, maturity, business acumen, proactivity, and excellent attitude • Proven experience as a key contributing member of a high-performing team • Self-motivation and ability to take ownership of projects • Ability to work efficiently independently and as part of a team • Visa sponsorship is not available for this position
