📋 Description

• Provide expert legal advice to the CEO, CFO, and Board of Directors • Draft, review, and negotiate commercial agreements, including MSAs, SaaS agreements, order forms, SOWs, NDAs, DPAs, vendor agreements, partnership agreements, and other commercial contracts • Partner with Sales, Customer Success, and Finance on customer contracts • Develop negotiating positions and escalation guidelines • Improve contracting processes, templates, approval thresholds, and contract lifecycle management • Manage privacy and cybersecurity policies and practices with Information Security • Build and maintain corporate document, commercial contract, and vendor agreement databases • Review and negotiate technology-provider and vendor agreements • Manage outside counsel relationships, including litigation and disputes • Lead legal due diligence and advise on mergers, acquisitions, and financing • Collaborate with HR on labor and employment law compliance • Identify and mitigate legal and compliance risks • Manage insurance policies, renewals, and relationships • Lead Legal function scaling projects and cross-functional initiatives • Advise on customer and contract-related issues • Drive workflow optimization and continuous improvement • Assist with intellectual property matters, including trademarks, licensing, and proprietary technology protection • Monitor legal and regulatory developments affecting Novara and the SaaS industry • Foster organizational alignment and company-wide execution

🎯 Requirements

• Juris Doctor (J.D.) from an accredited U.S. law school • Currently admitted and in good standing with a state bar in any jurisdiction • 5+ years of legal experience at law firms or in-house with progressive experience in legal operations • 3+ years of experience drafting, reviewing, and negotiating commercial contracts in a sophisticated environment • Experience providing legal advice to high-growth software companies, preferably within a SaaS environment • Strong negotiation, drafting, and management skills for commercial contracts • Experience in managing privacy and cybersecurity policies • Strong analytical and quantitative skills and attention to detail • Excellent verbal and written communication skills, listening, team leadership, and execution • Strong business acumen and collaborative teamwork • Must verify identity and eligibility to work in the United States
