📋 Description

• Provide contract review, drafting, negotiation, and administration support for federal government contracting activities • Draft, review, revise, and negotiate mutual and unilateral Non-Disclosure Agreements (NDAs) • Evaluate NDA confidentiality, disclosure, intellectual property, residuals, term, survival, remedies, and governing-law provisions • Identify non-standard or unfavorable provisions and recommend revisions • Draft, review, revise, and negotiate federal government contracting Teaming Agreements (TAs) • Review prime/subcontractor relationships, workshare, scope allocation, exclusivity, proposal responsibilities, pricing, intellectual property, termination rights, and post-award subcontract negotiations • Coordinate agreement language with business development, capture, proposal, and executive leadership • Draft, review, revise, and negotiate Subcontract Agreements (SubKs) as both prime contractor and subcontractor • Review subcontract terms for consistency with prime contracts and negotiated teaming arrangements • Evaluate FAR/DFARS flow-down requirements and applicability • Review subcontract provisions covering scope, performance, pricing, payment, invoicing, funding, changes, personnel, workshare, intellectual property, cybersecurity, insurance, indemnification, termination, disputes, and compliance • Identify contractual risks and communicate recommended changes to management • Support subcontract modifications and related contractual actions • Maintain organized agreement, modification, negotiation, and execution records • Track agreement status and outstanding contractual actions • Coordinate with executives, program managers, finance, business development, and outside counsel • Support contract templates, clause libraries, negotiation positions, and internal contracting procedures • Escalate material legal, financial, compliance, or performance risks • Help establish efficient contract review processes for a growing federal contractor

🎯 Requirements

• 5+ years of contracts or subcontract management experience, preferably within the federal government contracting industry • Demonstrated experience independently reviewing and negotiating NDAs, Teaming Agreements, and Subcontract Agreements • Strong working knowledge of the Federal Acquisition Regulation (FAR) • Experience reviewing and applying DFARS and prime-contract flow-down clauses • Understanding of federal subcontracting requirements and prime/subcontractor relationships • Experience supporting federal competitive procurements and proposal teaming arrangements • Strong contract drafting, redlining, negotiation, and risk-analysis skills • Ability to distinguish between routine business terms and issues requiring executive or legal review • Strong attention to detail and ability to manage multiple agreements simultaneously • Ability to work independently with limited supervision • NCMA certification such as CPCM, CFCM, or CCCM is preferred but not required • Preferred: 8+ years of federal government contracts/subcontracts experience • Preferred: experience supporting small and mid-sized federal contractors • Preferred: experience with DoD and civilian agency contracts • Preferred: familiarity with FFP, T&M, Labor Hour, and Cost-Reimbursement contract structures • Preferred: experience with IDIQs, task orders, GWACs, BPAs, and GSA Schedule contracting • Preferred: familiarity with SBA small-business subcontracting and socioeconomic program requirements • Preferred: experience with OCI, limitation on subcontracting, workshare, and affiliation considerations
