📋 Description

• Lead global securities law matters and related compliance • Manage the network of global subsidiaries, including subsidiary board meetings, entity structure changes, inter-company agreements, and local compliance • Assist with board agendas and materials and maintain records of meetings and corporate actions • Oversee Automattic’s stock plan and structure, negotiate, and execute stock sale transactions • Lead deal execution for fundraising and M&A transactions • Manage the investment portfolio and lead deal execution for venture investments • Design legal and business processes that enable international scaling • Provide strategic advice to operations teams to help the company run smoothly around the globe

🎯 Requirements

• US-qualified attorney • JD from a US-accredited law school • 5+ years’ experience in legal practice • Experience advising on securities law compliance and corporate governance • Experience managing international subsidiaries • Experience structuring and negotiating financing, M&A, and other strategic transactions • Experience with software integrations • Experience with licensing, especially open source licenses • Experience with intellectual property • Experience working on multiple complex transactions simultaneously, such as tender offers, fund formations, and public offerings • Ability to write clear, concise, and informative documentation • Ability to operate independently • Ability to understand complex topics and explain them clearly • Business-minded and practical approach to legal issues • Agile, curious mindset • Love of the open web
