📋 Description

• Lead venture capital financings end-to-end across all stages • Draft and negotiate term sheets, stock purchase agreements, investors' rights agreements, voting agreements, and ancillary financing documents • Advise founders and operators on deal terms, investor dynamics, and negotiations • Manage relationships with investors, opposing counsel, and cap table stakeholders • Identify recurring contract and negotiation patterns and improve templates, clauses, and playbooks • Provide input on AI-powered workflow design • Help define legal delivery standards, client communication standards, and matter management processes

🎯 Requirements

• 4–10 years at a leading law firm or in-house • Extensive experience on VC financings • Strong commercial instincts • Ability to give clear, practical advice • Openness to changing how routine legal work is done • Experience advising on SAFEs, convertible notes, and priced equity rounds • Experience drafting and negotiating term sheets, stock purchase agreements, investors' rights agreements, voting agreements, and ancillary financing documents
