📋 Description

• Act as a trusted legal and strategic advisor to the CEO, Board and Executive Leadership Team • Lead Eftsure's Legal, Risk and Compliance functions across the United States, APAC and Europe • Provide practical commercial advice across corporate and commercial law, technology contracts, partnerships, privacy and data protection, employment law, intellectual property and other business matters • Review, draft and negotiate complex commercial agreements, including customer, software licensing, vendor, employment and confidentiality agreements • Own the company's legal and regulatory risk approach, including frameworks, policies and controls • Keep the Executive Leadership Team and Board informed about emerging legislation and regulatory developments • Lead and support M&A and other corporate transactions, including due diligence, deal structuring and post-transaction integration • Support Board and corporate governance activities, including Board materials, resolutions and corporate secretarial requirements • Oversee data privacy, cybersecurity and broader legal and regulatory compliance • Manage litigation, disputes and claims and oversee external counsel relationships • Build scalable legal infrastructure, including contract templates, negotiation playbooks, workflows and processes

🎯 Requirements

• A Juris Doctor (JD), or regional equivalent, from an accredited law school • Active membership in good standing with at least one US state bar • 15+ years' post-qualification legal experience, including significant in-house experience, ideally within SaaS, fintech or technology • Previous experience as a General Counsel or senior legal leader • Experience leading both senior and junior legal professionals • Experience within a scaling, venture-backed or PE-backed global technology business • Strong experience across commercial contracting, corporate law, privacy, data protection and cybersecurity • Experience advising a Board and senior executives on complex legal, governance and risk matters • Experience supporting M&A and corporate transactions • Ability to operate effectively across multiple jurisdictions, particularly the United States, APAC and Europe • Exposure to ISO 27001, ISO 27701 and SOC 2 frameworks is highly regarded • Fluency in another language, particularly French, is advantageous but not required
