📋 Description

• Provide advice and assistance in contract drafting, review, and management throughout the contract lifecycle • Support the Transactions team within Legal Affairs • Work with the Transactions team, commercial products business, and sourcing & procurement • Draft, negotiate, and finalize contracts with internal and external parties • Handle Master Services Agreements, Statements of Work, Supply Agreements, Maintenance Agreements, and Rental Agreements • Liaise between internal business parties and external vendors and suppliers • Gather stakeholder feedback and approvals while ensuring business objectives are met • Monitor contractual actions and deadlines and determine appropriate courses of action • Correspond with internal clients regarding contract intake and pending contracts • Process requests and make recommendations independently or with attorneys • Identify issues, negotiate terms, and minimize organizational risk while following policies and procedures • Support contract execution and maintain data in Agiloft • Serve as Agiloft system administrator with Legal Operations • Help develop contract management policies, procedures, and systems • Prepare and provide occasional training to internal clients • Develop strategies and tools to improve efficiency and client service

🎯 Requirements

• Bachelor’s degree • 7+ years of experience as a paralegal • Experience in contract drafting, negotiating, and contract management systems • Strong preference for in-house corporate experience or a contracts terms and conditions focused role • Familiarity with Sourcing & Procurement contracts • Experience preparing redlines; significant experience redlining agreements • Strong understanding of contract language and each party’s obligations • Ability to identify, communicate, and mitigate business risks • Working knowledge of the full contract life cycle, from initiation through post-execution • Understanding of contract relationships and key terms, and how to negotiate • Experience working with Agiloft contract management system strongly preferred • Strong analytical and problem-solving skills • Excellent time management, written and verbal communication skills • Ability to interface with multiple levels within the company • Technically proficient in Word, Outlook, Excel, and Adobe Acrobat • Ability to work independently with little supervision • Ability to prioritize multiple tasks with competing priorities • Ability to work effectively in a dynamic, fast-paced environment • Proactive mindset and initiative • Comfort with ambiguity • Sound judgment, interpersonal skills, and discretion
