📋 Description

• Lead drafting, review, and negotiation of commercial and technology agreements, including MSAs, SOWs, vendor and procurement agreements, SaaS and software licensing agreements, and technology services agreements • Prepare and negotiate DPAs, data-sharing arrangements, NDAs, purchase agreements, and standard commercial terms and conditions • Negotiate product integration, partnership, and platform agreements • Advise on contractual risk allocation, liability, indemnities, and limitation of liability provisions • Provide guidance on intellectual property ownership, licensing, and usage rights • Advise on data ownership, licensing, security, data breaches, and incident response provisions • Develop and negotiate AI-related contractual provisions concerning model training data use, AI inputs and outputs, and AI-generated content risk • Develop and maintain contract playbooks, templates, and practical guidance • Leverage AI-enabled contract review and data extraction tools • Collaborate with product, engineering, legal, and cross-functional stakeholders to enhance legal technology tools and system outputs • Work as an augmented attorney alongside AI tools and structured playbooks • Focus on judgment, risk assessment, and complex legal issues while routine work is systematized • Translate legal expertise into repeatable, scalable processes

🎯 Requirements

• Juris Doctor (JD) and active Arizona bar admission • Experience in commercial contracting, technology transactions, or a related transactional practice • Demonstrated experience drafting and negotiating MSAs, SaaS agreements, vendor/procurement contracts, NDAs, and licensing agreements • Ability to adapt across industries, deal types, and client environments • Comfortable working within established playbooks and internal processes while identifying issues requiring independent legal judgment • Strong collaboration skills with legal, business, product, engineering, external counsel, and cross-functional stakeholders • Strong understanding of contract law, negotiation strategy, and balancing legal risk with business objectives in fast-paced environments
