• Serve as a senior legal and strategic business partner for FuelCell Energy, a public company operating in power generation, infrastructure, clean energy, equipment manufacturing, and project development • Draft, review, negotiate, and advise on utility-scale and behind-the-meter power generation, equipment, electricity sales, power purchase, tolling, interconnection, capacity reservation, and long-term service agreements • Negotiate engineering, procurement and construction agreements, EPC subcontracts, owner’s engineer arrangements, and construction/project risk allocation • Lead project financing, tax equity, secured financing, and other structured financing matters • Support public company financing and capital markets activities, including securities offerings, private placements, credit facilities, debt instruments, and disclosure coordination • Support strategic investments, joint development, joint ventures, partnerships, licensing, technology collaborations, due diligence, transaction structuring, governance, exit rights, and post-closing integration • Provide legal advice across commercial, supply chain, procurement, sales, engineering, manufacturing, and procurement activities from opportunity intake through contract lifecycle management • Identify and mitigate contracting risks involving performance obligations, liquidated damages, remedies, liability limitations, indemnities, and intellectual property • Manage outside counsel, including scoping, budgeting, work-product review, legal strategy, and coordination across complex transactions • Develop and improve contracting playbooks, templates, contract lifecycle management practices, and cross-functional transaction protocols
• J.D. from an accredited law school • License to practice law in Connecticut or another U.S. jurisdiction • Admission to the Connecticut Bar or Connecticut Authorized House Counsel status within six months of employment, as applicable • At least 10 to 15 years of progressively responsible legal experience, including law firm training and senior in-house experience • Experience supporting complex commercial, energy, infrastructure, manufacturing, project finance, corporate finance, or public company matters • Demonstrated experience drafting and negotiating equipment supply, EPC, PPA, tolling, long-term service, master supply/procurement, commercial, and project agreements • Experience with project development and project finance structures, including debt financing, tax equity, sponsor support, guarantees, export credit agency support, and financing-party diligence • Experience with M&A, joint ventures, joint development agreements, strategic partnerships, licensing, technology, and commercial arrangements • Experience in utility-scale power generation, infrastructure, clean energy, project development, manufacturing, or energy technology sectors • Familiarity with FERC, ISO/RTO matters, state utility commissions, siting authorities, tariffs, interconnection, permitting, market structures, and energy incentive programs • Ability to translate complex legal, technical, engineering, financial, and commercial issues into clear advice • Strong judgment balancing legal risk and commercial objectives in a public company context • Excellent drafting, negotiation, analytical, and legal writing skills • Strong business acumen and understanding of project economics, commercial objectives, financing constraints, and operational realities • Senior-level judgment and discretion • Integrity and ethics • Ability to lead complex negotiations and coordinate interdisciplinary teams through contract execution • Ability to identify issues early, propose practical solutions, and drive timely resolution • Excellent interpersonal and communication skills • Strong organizational skills, attention to detail, and ability to manage multiple priorities • Collaborative, pragmatic, solutions-oriented approach • Proficiency with Microsoft Office and willingness to use legal technology and contract lifecycle management tools • Ability to work at a desk and computer for extended periods • Ability to move around buildings and project sites for meetings and site visits • Ability and willingness to travel approximately 10%–15%, including possible international travel • Ability and willingness to wear required PPE, including safety glasses, safety shoes, and hard hat • Successful completion of drug screen, criminal background check, and employment and education verification • No agency submissions
