📋 Description

• Lead Givebutter's in-house legal function across corporate governance, intellectual property, risk management, and employment • Own corporate and board governance, including board minutes, resolutions, entity management, equity matters, annual filings, and regulatory reporting • Advise executive leadership and the Board of Directors on governance practices and fiduciary obligations • Manage and protect trademarks, copyrights, and trade secrets • Lead IP strategy and advise on product development and marketing IP considerations • Enforce Givebutter's intellectual property rights against infringement • Own the insurance program, including D&O, cyber liability, E&O, and general liability coverage • Manage renewals, coverage adequacy reviews, claims, and risk-transfer strategy • Lead the internal AI governance framework and maintain responsible AI policies • Monitor AI law developments and oversee legally sound, ethical AI-tool adoption • Advise the People team on employment law, hiring, compensation, benefits, employee relations, investigations, performance management, separations, and policies • Draft and review employment agreements, offer letters, separation documentation, and related materials • Monitor nonprofit law, charitable solicitation regulations, and state-level fundraising platform requirements • Partner on regulatory filings, licensing, and compliance matters • Assess and mitigate enterprise legal risk across business decisions, M&A, and strategic initiatives • Selectively engage and manage outside counsel within scope and budget • Lead or support dispute resolution, corporate transactions, and special legal projects • Manage and develop the Commercial & Product Counsel • Build scalable legal processes, policies, playbooks, templates, and internal knowledge • Use AI-enabled tools to improve legal research, workflow efficiency, and knowledge management • Bring legal work in-house and establish thresholds for external counsel engagement

🎯 Requirements

• J.D. from an accredited law school • Active bar membership in good standing in your state of residence and/or California, New York, or Texas • 8–12 years of legal experience • Meaningful combination of top-tier law firm training and in-house experience at a technology or fintech company • Expertise in corporate governance, intellectual property management, and employment law • Ability to advise senior leadership and boards with clarity, confidence, and sound judgment • Experience managing commercial insurance programs and advising on enterprise risk • Experience navigating differing state-by-state regulations and translating them into business guidance and compliance processes • Fluency with AI tools in a professional context and informed opinions about responsible deployment • Excellent written and verbal communication • Ability to operate independently with high autonomy in a fast-paced, high-growth environment
