📋 Description

• Serve as Hazel's senior in-house lawyer and compliance leader • Provide practical legal advice across healthcare regulatory matters, corporate and entity governance, employment, commercial contracts, privacy, enterprise compliance and risk • Handle recurring legal work in-house and manage specialized outside counsel • Reduce reliance on outside counsel by bringing repeatable work in-house • Establish templates, playbooks, matter intake, budgets, billing guidelines, preferred-counsel relationships and alternative fee arrangements • Deliver measurable reductions in outside legal spend while maintaining quality and risk management • Own legal strategy and negotiation for customer, payer, partnership and material vendor agreements • Partner with Growth, Finance, Operations and Security on high-stakes contract terms • Advise on telehealth, provider licensure, scope of practice, prescribing, corporate-practice-of-medicine considerations and administrative/clinical decision boundaries • Maintain Hazel's multi-entity legal architecture, entity map and governance records • Coordinate state entries/exits and structural changes with Finance, Clinical leadership and outside counsel • Lead the enterprise compliance program and maturity roadmap, including policies, training, monitoring, reporting, investigations and corrective actions • Steward the Compliance Committee and regular Board reporting • Oversee Privacy Officer responsibilities and advise on HIPAA, FERPA, student-data privacy, data use, vendor obligations and responsible AI governance • Establish frameworks for incident response, minimum-necessary access and regulatory reporting • Advise People leadership on reductions in force, WARN analysis, separations, releases, investigations, leave, accommodations, employee relations and multi-state employment compliance • Maintain prioritized legal and compliance risk assessments and advise leadership and the Board on risk appetite and mitigation • Oversee regulatory inquiries, internal investigations and corrective-action planning • Manage outside counsel for financing, M&A, litigation, government investigations, malpractice, intellectual property, tax and novel state-specific regulatory matters

🎯 Requirements

• JD from an accredited law school required • Active membership in good standing in at least one U.S. jurisdiction required • Approximately 6-10+ years of progressively responsible legal experience • Meaningful in-house work in healthcare or a closely related regulated industry • Strong foundation in healthcare regulation and compliance • Experience translating complex regulatory requirements into practical operating guidance • Familiarity with HIPAA, healthcare privacy and security, Medicaid billing integrity, fraud, waste and abuse controls, OIG compliance frameworks, training, monitoring, investigations and Board reporting • Strong contract drafting and negotiation skills • Ability to advise on sensitive workforce matters • Understanding of MSO and affiliated professional-entity operations • Experience with PC governance, intercompany arrangements, multi-state qualifications or corporate-practice-of-medicine issues strongly preferred • Ability to create systems, templates and playbooks • Ability to use technology thoughtfully and improve workflows • Ability to select and manage outside counsel, define scope, negotiate fees and control spend • Sound judgment and clear communication with clinical and business leaders • Ability to raise difficult issues and report candidly to senior management and the Board • Commitment to expanding access to pediatric care • Qualified applicants must meet applicable employment eligibility requirements
